2024 May 11 Annual Meeting: Bylaws can be changed at the annual meeting of the members and CCRs can be changed every 10 years. This is one of those years. At the March 2024 HOA board meeting, the board voted on several proposed changes which were included in the last mailing to all members. Most were sent to the TLGA lawyer prior to that meeting. He suggested we add electronic voting and change the term “trustee” to “director”. These items of proposed change that were passed and will be presented to the members for vote at the annual meeting of members. If the members pass the motions, the TLGA by-laws will be legally changed, effective on the date of legal approval by the state. Proposed Bylaw amendments:

  1. Section 2: Propose to strike section 2 which refers to “Member Certificates” no longer used.
  2. Section 4: Change to “legal owner on record at Thurston County Assessor”. Anywhere it reference’s “certificate” change to “legal owner” rather than “member certificate”.
  3. Section 7: delete “Certificates”

Article II: Meeting of Members:

  1. Section 1: Change annual Members Meeting from 2nd Saturday (usually Mother’s Day weekend)to 3rd Saturday in May.
  2. Section 2: Special meeting of the members may be called at any time by the president, majority vote of the board of trustees, or upon written request of 35% of the active members. Change from majority to 35%.
  3. Section 4 – Change to 40% of the members and if there is not a quorum, a new meeting needs to be called within 45 days. At that meeting, a quorum of 30% of the members to vote on election of new board only. No other business.

Article 3 – Add term 3 year term limit for board members. Every year a board member serves on the board, they will need to sit out for a year.

Proposed additions to bylaws:

  1. Mail in voting for members living outside Thurston County.
  2. electronic voting using a dual authentication / enter code/ enter code to phone or email. then can vote on any or all issues.
  3. change “Trustees” (not used in today’s legal language) to “Director”
  4. Ballots to be counted at the members meeting in front of all members.
  5. No more than one family member or household represented on board at same time.
  6. Change from 7 board members to 5 board members If term limits are approved. Will be voted on If term limits pass.
  7. Boards members cannot elect board members.

Note: No mail-in voting for 2024 and moving forward per legal interpretation of our current by-laws by the TLGA lawyer.
